Structured Finance Consulting

Welcome to the structured finance consulting services section of Rainmaker Marketing Corporation's Internet server.  Here you will find information pertaining to how we develop structured finance programs predicated upon the use of the Royalty-Based Structured Finance ("RBSF") Business Combination Transaction Model (commonly referred to as a "Business-Combination" or a "royalty limited partnership"). 

The RBSF approach focuses on the following key issues:

Excessive Taxation.  The heart of the RBSF construction is to create a structure that treats the profits generated by the ongoing business operations as a royalty stream, thus eliminating the specter of dividend taxation under current U.S. tax laws.

Risk Management.  Perhaps the most attractive benefits the RBSF transaction model provides is the virtual elimination of the subjective transaction risks that can lead to bankruptcy and/or foreclosure.  Some of the common risks that are virtually eliminated (i.e.: nothing can be completely eliminated when it comes to business operations in a market economic structure) include:

Liabilities derived from ongoing business operating risks.

Market risk.

Yield risk.

Dividend/Distribution Payment Risk.

Inflation Risk.

Inventory Risk.

Bankruptcy Risk.

Foreclosure Risk.

Deferred Maintenance Risk.

Cost-Efficiency.  The RBSF transaction model rewards the continued increase in operating efficiency created by management as a result of selecting the most cost-efficient products and services required to complete its business purposes (as opposed to just selecting the cheapest alternative available), thus creating the opportunity for the RBSF constructed business to generate the highest EBITDAR (as a function of gross sales) of its peer group within a defined marketing area.

Financial Leverage.  The RBSF approach provides the highest possible financial leverage for investors and promoters due to its unique capitalization structure and operating program construction.
